Unlock Florida's Investment Potential with StateCF

Your company, in control of its own raise. StateCF is the OFR-registered intermediary whose portal gives Florida businesses the tools to conduct their own Invest Local offerings to Florida residents, and keeps the offering record. Registration does not imply that such person has been sponsored, recommended, or approved by the state or an agency or officer of the state or by the United States or an agency or officer of the United States. The company runs the raise; StateCF does not find, introduce or meet investors.

Your investors belong to your company. They're nobody else's investors.

For Florida companies raising capital

Raise from in-state investors without losing the compliance thread.

A Florida offering lives or dies on who may invest, what they were shown, and whether the file is complete at close. StateCF keeps that file as the raise runs, so your counsel reviews a record made at the time, not one rebuilt from email afterwards.

Who may invest

Every investor confirms Florida residency and completes investor education before opening the documents or subscribing. A Florida ZIP code is required and checked again at checkout.

What they were shown

Each document an investor opens or downloads is recorded, permanently. Every change to the deal room and presentation is kept in a change history that cannot be edited or deleted.

A complete file at close

Your OFR filings with their dates, material changes and each investor's answer, monthly updates and the offering's documents stay together in your StateCF account.

For your securities attorney: what the record holds.

Understanding the Florida Invest Local Statute

Chapter 517 lets a Florida business raise capital directly from Florida residents: up to $500,000 under the Invest Local Exemption (§ 517.0612) or up to $5,000,000 under the Florida Limited Offering Exemption (§ 517.0611), each less what the company sold in the prior 12 months, with an OFR-registered intermediary required for an offering of $2,500,000 or more (§ 517.0611(4)(b)). Investors must be Florida residents, funds go to a Florida depository named in your disclosure, and every announcement states the Florida-only limitation.

Your Path to Capital: Getting Started with StateCF

Step 1: Complete Your StateCF Application

Submit the capital-readiness application. It tells us about the company, the proposed offering, your disclosure information and your legal readiness. It is reviewed by StateCF; the readiness checklist and the items still missing come back to you.

Step 2: Schedule Your Onboarding Appointment

After review, we schedule an onboarding appointment to walk through the portal's tools, the two Florida exemptions (§ 517.0612 up to $500,000 and § 517.0611 up to $5,000,000) and the timeline. Which exemption fits your company, and how to structure the offering, are questions for your securities attorney.

Step 3: Prepare Your Offering

Prepare the presentation room, the tombstone ad, the disclosure statement and the deposit-account instruction. StateCF and its AI tools check the file for antifraud and Chapter 517 fit. You file your notice with the OFR through REAL.

Step 4: Launch Your Campaign

Your tombstone and presentation room go live in the StateCF catalog, open to Florida residents. Your company announces the facts itself, to people it knows (that you are listed, that the deposit account is near a close, that the offering closed), always with the Florida-residents-only limitation. StateCF does not promote your offering or introduce investors.

Step 5: Fund Your Future

When the disclosed target is met, the depository releases funds to your designated account and certificates are issued on the cap table. StateCF keeps the record.

Campaign Options: Tailored for Your Success

StateCF is committed to making capital formation accessible and affordable. Subscription options meet different needs, with the freedom to upgrade at any time and no long-term commitment. Fees are billed to the company and disclosed in the OFR filing; they are never charged to investors.
