How to Start as an Investor

Five steps from browsing to becoming a shareholder in a Florida company. By investing locally you support Florida entrepreneurs; every investment carries the risk of total loss.

    Browse for Companies

    Browse the StateCF catalog to find Florida companies to invest in. To list, companies provide a pitch deck, business plan, financial statements and formation documents, and file an OFR notice. Investing in small companies is high risk; do your own due diligence. StateCF does not make recommendations.

    Decide Where to Invest

    Open the presentation room, read the disclosure statement, term sheet and officer bios, ask questions in the discussion board or a live conference, and consult your own advisers.

    Commit

    Subscribe through the checkout during the offering period. Your payment goes to the Florida depository named in the company's disclosure. You may cancel any time before you pay, and for 3 days after you first pay (§ 517.0612(12)). If the company makes a material change you are asked to reconfirm. Unless StateCF has verified that you are accredited, you may invest up to $10,000 in total across all offerings in any 12 months (StateCF policy; the law's limit is $10,000 per purchaser in each offering, § 517.0612(6)). There are no investor fees on StateCF.

    Offer Ends

    If the company meets its target by the deadline, the depository transfers funds to the company. If the target is not met, funds are returned to investors.

    Become a Shareholder

    A digital certificate is issued on the company's cap table. Help raise awareness of the company, offer your expertise, and engage with other shareholders in the discussion board.

Features and Capabilities

StateCF qualifies each Florida investor before granting access to a presentation room: residency, investor education and the investment limit are on file, so companies know who they are sharing documents with. The platform runs over TLS encryption, the same technology banks use.
