Policy

How offerings are ordered and shown

The rules behind the order of the catalog and any offering shown more prominently. Position cannot be bought, and order is never a recommendation.

The catalog order

Live offerings are listed first, then by the date they were published, newest first. Sample listings come last. That is the whole rule, and it is applied the same way to every company.

What can make an offering more prominent

Where StateCF shows an offering more prominently than the catalog order — on the homepage, in a city portal, or in a filtered view — it does so only on objective criteria that are stated with the view:

  • the type of security offered (ownership shares, debt, or an indication of interest);
  • the company's Florida city or region;
  • industry;
  • progress toward the offering's target;
  • the number of commitments recorded;
  • the minimum investment or the maximum raise;
  • how recently the offering opened, or how soon it closes.

An offering is never shown more prominently because StateCF considers it advisable, sound, promising or suitable for anyone.

What companies cannot buy

Companies pay nothing extra for placement. There is no featured tier, no showcase package and no fee that changes where an offering appears. Fees charged to a company are for the use of the portal and are disclosed on the offering page and in the company's OFR notice.

What the order is not

StateCF is a registered intermediary, not a broker-dealer or an investment adviser. Registration does not imply that such person has been sponsored, recommended, or approved by the state or an agency or officer of the state or by the United States or an agency or officer of the United States. It does not recommend, rate, rank or endorse any offering, and the order of the catalog carries no such meaning. Every offering is made by the company on its own behalf. Read the company's disclosure before deciding whether to subscribe.
